Workshop & Facilitation Agreement

Services

The Facilitator (Coach) agrees to provide a workshop or facilitation experience designed to educate, inspire, and develop skills within a group setting. Unlike individual coaching, which is driven by the client's agenda, this engagement focuses on delivering specific learning outcomes or facilitating group cohesion as agreed upon.

The success of this workshop depends on the active participation of the attendees. The Facilitator will provide the structure, content, and guidance, while the Client (Organization or Host) agrees to support an environment conducive to learning and open participation.

Disclaimer

The Client understands that this workshop is educational and facilitative in nature. It is not group therapy, mental health care, or a medical intervention. The Facilitator is not acting as a licensed medical doctor, psychologist, or therapist during this engagement.

While emotional topics may arise—particularly in workshops regarding mental health awareness, emotional intelligence, or nature-based practices—this workshop does not aim to diagnose or treat mental health issues. Participants are responsible for their own well-being. If a participant is in crisis, the Facilitator may recommend they seek outside professional support.

Logistics & Delivery

  • Format: The workshop will be delivered as specified in the "Workshop Proposal" (e.g., Virtual via Google Meet/Zoom, or In-Person).

  • Duration: The duration (e.g., 60 minutes, half-day, full-day) is defined in the Workshop Proposal.

  • Start/End Time: The Facilitator will be ready to begin at the agreed-upon start time. If the group is delayed, the workshop will still end at the scheduled time to respect the Facilitator’s schedule, unless otherwise mutually agreed upon in the moment.

Tech & Setup:

  • Virtual: The Client ensures that participants have access to the necessary technology (typically Zoom, Google Meet, or Teams, as determined by the Facilitator).

  • In-Person: The Client agrees to provide the necessary room setup (e.g., projector, whiteboard, seating arrangements) as discussed before the event.

Payment and Fees

Specific topics, duration, pricing, and payment terms for this engagement are outlined in a separate document, the “Workshop Proposal,” which is incorporated by reference into this agreement. Payment is due as specified in the Proposal.

Cancellation & Rescheduling

Because workshops require significant preparation and block out extended time on the Facilitator’s calendar, the following policy applies:

  • Rescheduling: Requests to reschedule must be made at least 7 days prior to the event.

  • Cancellation:

  • Cancellations made more than 7 days before the event are eligible for a full refund (minus any non-refundable deposit specified in the Proposal). Rescheduling is typically preferred.

    • Cancellations made less than 7 days before the event are responsible for the full fee, as that time cannot be re-booked.

  • Force Majeure: In the event of an emergency (e.g., severe illness, natural disaster) preventing the Facilitator from delivering the workshop, a full refund or penalty-free reschedule will be offered.

Intellectual Property

All materials, slide decks, handouts, frameworks, and exercises provided by the Facilitator are the intellectual property of the Facilitator (or their licensors).

  • Usage: The Client and participants are granted a license to use these materials for their personal or internal organizational use only.

  • Restrictions: Materials may not be reproduced for resale, creating derivative works, or used to teach this content to others without the Facilitator's express written permission.

Confidentiality & Recording

  • Facilitator Commitment: The Facilitator promises that specific business insights or sensitive employee disclosures observed during the workshop will be kept confidential and not shared with outside parties.

  • Group Dynamics: The Facilitator will establish ground rules (such as "what is said here, stays here") to encourage psychological safety. However, the Client acknowledges that the Facilitator cannot guarantee strict confidentiality regarding what participants may share outside the session.

  • Recording: No audio or video recording of the workshop is permitted by the Client or participants without prior written consent from the Facilitator.

Term & Termination

This agreement is effective as of the signature date below and remains in effect until the completion of the workshop.

Limitation of Liability

The Facilitator makes no guarantees regarding specific results or behavioral changes of participants. The Client agrees that the Facilitator will not be liable for any damages arising from the workshop. The Facilitator's total liability under this agreement is limited to the total amount of fees paid by the Client.
